Terms of Service

These Terms apply to products, services, or access sold or provided by SpicerVisions through Whop or related channels.

Scope + Product-Specific Terms (Order of Precedence)

These Terms apply to any product, service, or access sold or provided by SpicerVisions through Whop or related channels, collectively the Offerings, including digital products, memberships or subscriptions, communities, coaching or calls, events, and physical goods or merchandise.

Some Offerings may include additional terms shown on the specific product page, checkout flow, access page, scheduling page, or shipping and return information, referred to as Product-Specific Terms. If Product-Specific Terms conflict with these Terms, the Product-Specific Terms control for that Offering. If a topic is not addressed by Product-Specific Terms, these Terms control.

Platform Terms Also Apply

Many Offerings are sold and delivered through Whop. Your use of Whop is governed by Whop’s own terms and policies in addition to these Terms.

Acceptance

By purchasing, accessing, or using any Offering, you agree to these Terms.

Eligibility and Minors

You must meet Whop’s minimum age requirements to use the platform. Our Offerings are not intended for children under 13, and we do not knowingly sell to or support accounts for children under 13.

If you are 13–17, or under the age of majority where you live, you may only purchase or use Offerings with the permission and supervision of a parent or guardian, and your parent or guardian agrees to these Terms on your behalf.

Accounts, Access, and Community Conduct

Access may require a Whop account and compliance with platform rules. You agree not to misuse Offerings or the community, including harassment, fraud, illegal activity, disruption, doxxing, or attempts to bypass access controls.

We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, Product-Specific Terms, or platform rules.

Purchases, Delivery, Subscriptions, Services, and Physical Goods

Offerings may include digital downloads, subscriptions or memberships, community access, coaching or other services, events, and physical goods. Delivery method, access duration, renewal terms, scheduling rules, and any shipping or handling details will be described in the Product-Specific Terms for the relevant Offering.

We may update or modify Offerings over time, including content, features, and format. If an Offering is subscription-based, continued access generally depends on an active subscription.

Pricing, Taxes, and Payments

Prices are shown at checkout. You are responsible for any applicable taxes, duties, or import fees unless Product-Specific Terms state otherwise. Payment processing and checkout are handled through Whop and its payment partners.

Refunds, Disputes, and Chargebacks (Whop Resolution Center)

Refund requests and purchase disputes for Whop purchases must be submitted through Whop’s Resolution or Dispute process unless Product-Specific Terms state otherwise or applicable law requires a different outcome.

As a general platform flow, refund cases are typically submitted to the creator first for review and may be escalated or assigned to Whop for review if not resolved in time. Whop may also apply its own rules for certain payment methods and disputes. We will respond through Whop’s workflow within a reasonable time when creator action is required.

Chargebacks: please use Whop’s dispute or refund process first. Chargebacks may result in loss of access and may limit future purchases. We may provide information to Whop and payment processors in connection with disputes, fraud prevention, and enforcement.

Intellectual Property; License; EULA

All SpicerVisions original materials, including templates, PDFs, videos, text, branding, and other content, are owned by SpicerVisions or the Operator and protected by law.

Unless Product-Specific Terms state otherwise, your purchase grants you a personal, non-transferable, non-exclusive license to use our original materials for your own use only. You may not copy, redistribute, resell, share, publish, or provide access to our original materials, including by public links, shared drives, teamspaces, template sharing, or password sharing, unless we explicitly allow it in writing.

For licensed digital materials, the SpicerVisions EULA applies and controls to the extent it adds additional license rules.

Educational/Productivity Use Only (No Professional Advice)

Offerings are provided for educational and productivity purposes only. We are not providing legal, financial, tax, medical, or other regulated professional advice. You are responsible for your decisions and outcomes.

Disclaimers (“As-Is”) and No Guarantees

Offerings are provided as is and as available. We do not guarantee specific results, earnings, outcomes, or uninterrupted access. Your results depend on your circumstances and effort.

Limitation of Liability

To the maximum extent permitted by law, SpicerVisions or the Operator is not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, data, or goodwill arising from or related to the Offerings.

If liability is found, our total liability for any claim will not exceed the amount you paid for the specific Offering giving rise to the claim, or the minimum amount permitted by law if a limitation is not allowed.

Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless SpicerVisions or the Operator from claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of your misuse of the Offerings, your violation of these Terms, or your violation of any law or third-party rights.

Termination

We may suspend or terminate access for violations, fraud, abuse, or harmful conduct. Upon termination for cause, you may lose access to Offerings, subject to Whop’s processes and applicable law.

Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, such as platform outages, network failures, acts of God, labor disputes, government actions, or shipping carrier disruptions.

Changes to These Terms

We may update these Terms from time to time. The effective date will reflect the latest version. Continued use after changes means you accept the updated Terms.

Governing Law and Venue

These Terms are governed by the laws of Ontario, Canada, and applicable federal laws of Canada. You agree that disputes will be brought in the courts located in Ontario unless mandatory consumer laws in your jurisdiction require otherwise.

Miscellaneous

  • Severability: If any provision is unenforceable, the rest remains in effect.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our written consent; we may assign them as part of a business transfer.
